General Terms and Conditions – 3MMC Kopen

3MMC Kopen is a registered business offering research chemicals and alternatives, operating under the applicable laws of the Netherlands. We aim to provide high-quality, legal alternatives to research chemicals like 3MMC, as well as other products for research purposes.

Article 1 – Definitions

In these terms and conditions, the following definitions apply:

  • Offer: Any written offer made by the seller to provide products to the buyer, subject to these terms and conditions.
  • General Terms and Conditions: The present general terms and conditions of the seller.
  • Reflection Period: The period within which consumers may exercise their right to withdraw from a purchase.

Article 2 – Applicability

These terms and conditions apply to all offers, distance contracts, and orders between 3MMC Kopen and the buyer. By accepting an offer or placing an order, the buyer agrees to these terms and conditions. Any general or additional terms from the buyer are excluded. If any provision of these terms is partially or wholly invalid, the rest of the terms shall remain in effect, with a substitute provision mutually agreed upon.

Article 3 – The Offer

  • The offer is non-binding, unless explicitly stated otherwise in writing.
  • The seller reserves the right to modify the offer at any time.
  • The seller is bound by the offer only once the buyer has placed an order.
  • Offers may contain limitations or specific conditions, which will be clearly stated.
  • The offer is valid only for buyers who are 18 years of age or older.
  • Product descriptions are accurate and sufficient to allow the buyer to evaluate the offer, but images and specifications may differ slightly from the actual products.
  • The seller is not liable for errors or mistakes in the offer.

Article 4 – The Agreement

  • The agreement comes into effect when the buyer accepts the offer and fulfills the conditions outlined by the seller.
  • The seller confirms acceptance of the buyer’s offer electronically without delay.
  • The seller may involve third parties to execute parts of the agreement at its discretion.
  • The buyer must provide accurate and timely information for the execution of the agreement.
  • The buyer is responsible for any inaccuracies in the data provided. The seller is not liable for damages resulting from incorrect or incomplete data provided by the buyer.
  • The seller may refuse an order or impose special conditions if the buyer does not meet requirements or if further investigation indicates a risk.

Article 5 – Delivery and Execution

  • Delivery times provided by the seller are indicative and do not entitle the buyer to compensation unless otherwise agreed.
  • If the seller cannot deliver the product within the stated period, the buyer has the right to cancel the agreement.
  • The seller is not responsible for loss, delays, or customs issues once the product leaves the seller’s facility.
  • Shipping costs are separate unless otherwise agreed.

Article 6 – Examination and Complaints

  • The buyer must inspect the products upon delivery and report any discrepancies within 14 days of receipt.
  • Complaints should be sent via email to the provided contact address.
  • If the complaint is valid, the seller will address it within 14 days, either providing a resolution or offering a refund within 30 days.

Article 7 – Price

  • Prices stated in the offer are fixed for the duration of the offer period, except in cases of VAT changes or market fluctuations.
  • Price increases are allowed only if they result from legal changes or are agreed upon with the buyer.
  • Prices include VAT unless stated otherwise.

Article 8 – Payment

  • Payments must be made in full to the seller’s account using the payment details provided.
  • The buyer must notify the seller immediately of any inaccuracies in the payment details.
  • In case of non-payment, the seller reserves the right to charge reasonable recovery costs.

Article 9 – Retention of Title

  • Ownership of the products remains with the seller until full payment is received.
  • The buyer is not authorized to pledge or encumber the products until full ownership is transferred.

Article 10 – Conformity

  • The seller ensures reasonable measures to provide products of quality and suitable for their intended use. However, the seller does not guarantee the suitability of the products for every specific application.
  • The guarantee does not apply if the buyer modifies the product or if the product is mishandled.

Article 11 – Use and Safety

  • The buyer agrees to follow all safety instructions provided with the products and agrees not to use them for consumption.
  • The products should be kept out of the reach of children, animals, and individuals who may misuse them.

Article 12 – Liability

  • The seller is not liable for damages resulting from the use of products.
  • The seller’s liability is limited to the amount paid by the buyer for the product, except in cases of intent or gross negligence.
  • The seller is not liable for consequential or indirect damages.

Article 13 – Force Majeure

  • In case of force majeure, the seller may suspend or terminate the agreement without liability, by notifying the buyer.

Article 14 – Disputes

  • Any disputes between the buyer and seller will be governed by Dutch law, with the exclusion of the Vienna Sales Convention.
